INSPECT360 SUBSCRIPTION AGREEMENT

This Subscription Agreement (“Agreement”) is a legal contract between you (“You,” “Your”) and Creative Cloud Ltd trading as Inspect360 (“Inspect360,” “We,” “Our,” “Us”). This Agreement governs your use of the Inspect360 platform and related services (“Service”).
By clicking “I Agree,” “Accept Terms,” or similar when signing up, or by accessing or using the Service, you:
- Confirm you have read, understood, and agree to this Agreement.
- Declare you have the authority to bind your organisation (if applicable).
- Accept that you are legally bound by these terms.
If you do not agree, do not use the Service.

DEFINITIONS
- Account – Your registered access to the Service.
- Aggregated Statistics – Anonymised, non-personal data collected by Inspect360 based on usage trends.
- Authorized User – Anyone you permit (employees, contractors, agents) to use the Service under your subscription.
- Customer – Your customers and prospective customers who use the Service’s customer-facing features.
- Documentation – Manuals, guides, or materials provided by Inspect360 about using the Service.
- Feedback – Any suggestions or recommendations you provide about improving the Service.
- Order – A purchase order for one or more Service Plans, whether executed online or contractually.
- Privacy Policy – Inspect360’s current Privacy Policy, available on our website.
- Service – The Inspect360 cloud-based platform for building inspections and compliance management.
- Service Plan – Subscription tiers and packages available for use.
- Site – Websites or mobile applications through which the Service is accessed.
- Inspect360 IP – The Service, Documentation, Feedback, Aggregated Statistics, and all related intellectual property.
- Third-Party Services – External services integrated into Inspect360 (e.g., payment providers, analytics tools).
- User Data – Any data you or your customers submit to the platform.

ACCESS & USE OF THE SERVICE
2.1 Account Registration & Security
- You must register an Account to access the Service and keep login details secure.
- Each Authorized User must have individual login credentials that must not be shared.
- You must update account details to ensure accuracy.
- You are fully responsible for all activity under your Account.
- If you suspect unauthorised access, you must notify Inspect360 immediately.
2.2 Acceptable Use & Restrictions
You must not:
- Copy, modify, or resell the Service.
- Reverse engineer, decompile, or attempt to access source code.
- Bypass security features or attempt to hack the system.
- Conduct penetration testing or security reviews without permission.
- Use the Service for unlawful purposes.
Inspect360 may monitor your use of the Service and suspend access if violations occur.

THIRD-PARTY SERVICES
- Some Inspect360 features may rely on third-party providers.
- Inspect360 is not responsible for third-party services, including changes or discontinuation.
- Payment disputes with third-party services must be handled directly with the provider.
- If accessing the Service via a mobile app store, additional terms may apply.

USER DATA & PRIVACY
- You own your data, but grant Inspect360 the right to use it only for service improvement and functionality.
- GDPR Compliance: Inspect360 complies with UK GDPR and global data protection laws.
- You must ensure that data you upload does not violate privacy laws.
- Upon cancellation, you may request an export of your data before it is deleted.

FEES, PAYMENTS & TAXES
- All fees must be paid in full, upfront.
- Payments are processed via third-party payment providers (subject to their terms).
- Inspect360 may charge interest and collection costs for late payments.
- Subscription fees are non-refundable, except where legally required.
- Inspect360 may change fees with notice before renewal.

CANCELLATION & TERMINATION
6.1 Cancellation by You
- You can cancel anytime by:
- Using the Inspect360 website.
- Emailing info@inspect360.ai.
- Your access remains active until the end of your billing period.
- Refunds are not provided unless required by law.
- Data deletion: Inspect360 may delete your data after 30 days of cancellation.
6.2 Termination by Inspect360
Inspect360 may terminate your subscription immediately if:
- You violate this Agreement.
- Fraudulent activity is detected.
- A legal order requires termination.
- We decide to discontinue the Service (30-day notice required).
If Inspect360 terminates without cause, you may receive a pro-rated refund.

INTELLECTUAL PROPERTY
- Inspect360 owns all rights to its platform, software, and technology.
All rights, title, and interest in and to the Inspect360 platform, including but not limited to the software, algorithms, data models, trademarks, trade secrets, documentation, and all modifications, enhancements, and derivative works thereof (“Inspect360 IP”), are and shall remain the exclusive property of Creative Cloud Ltd Trading as Inspect360.
Nothing in this Agreement shall be construed as transferring any rights or ownership in the Inspect360 IP to the Customer or any third party. Customers are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Inspect360 platform solely for their internal business purposes in accordance with this Agreement.
Any unauthorized reproduction, distribution, modification, or use of the Inspect360 IP beyond the scope permitted in this Agreement shall be considered a material breach and may result in immediate termination of access to the Service and legal action.
- Any feedback you provide (e.g., feature suggestions) becomes Inspect360’s property.
- DMCA Compliance: If you upload copyrighted content without permission, Inspect360 may remove it.

LIABILITY & DISCLAIMERS
- The Service is provided “as is”, with no guarantees of uptime or performance.
- Inspect360 is not liable for:
- Loss of data.
- Business losses.
- Service downtime.
- Your total claim against Inspect360 cannot exceed 6 months of subscription fees paid.

DISPUTE RESOLUTION
- This Agreement is governed by the laws of England and Wales.
- Mediation First: Parties must attempt to resolve disputes through mediation before arbitration.
- Binding Arbitration: If mediation fails, disputes will be resolved via arbitration in England and Wales.
- Inspect360 can seek a court injunction if necessary.

GENERAL TERMS
- You cannot transfer this subscription to another party without approval.
- Inspect360 can update these terms, and continued use means you accept changes.
- Notices must be sent via email to info@inspect360.ai.
